ACCEPTANCE OF TERMS OF USE

The “Terms consist of these Conditions of Use,  Connected Commerce, Inc. (“Connected Commerce or “us” or “our”) operates the website, www.ConnectedCommerce.net, the mobile and touch versions and any individual sites or merchant-specific, city-specific, or other area-specific sites we have now or may have  in the future. These Terms constitute a binding legal agreement (“Agreement,” though we may use “Terms” interchangeably with “Agreement” herein).  The website and links contained within or otherwise available through external hyperlinks within our Site (also called “Microsites”) will be collectively referred to as the ("Site") in these Terms of Use. By using our Site and Connected Commerce's services through the Site, you (“you” or, “End User”) agree to these Terms of Use, our Privacy Statement, and any additional terms applicable to certain programs in which you may elect to participate or with respect to any Microsite, as any of the same may exist from time to time (collectively, the "Terms of Use" or "Agreement"). IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, IMMEDIATELY STOP ACCESSING THE SITE AND DO NOT USE ANY CONNECTED COMMERCE SERVICE OFFERED THROUGH THE SITE. 

1. Permitted Uses

The Site provides an interactive online service operated by Connected Commerce, consisting primarily of promotion and marketing services on behalf of certain merchants (“Merchants”) making coupons, daily deals, loyalty and rewards for Merchant goods and services available to its users. These offers may be purchased by Connected Commerce account holders and exchanged for goods and services from the issuing Merchants or other parties identified in the terms of the offer and subject to the Terms of Sale set forth below. As a condition of your use of this Site, you agree that You:

• are 18 years of age or older;
• are able to form a binding contract with us;
• will always comply with the terms of this Agreement;
• will not impersonate another user of the Sites and/or Services.
• have the right to provide any and all information you submit to the Site, the information is only about yourself, and all such information is accurate, true, current and complete.

Your permission to use the Sites and/or Services is conditioned upon your agreement that you:

• are not prohibited by law from accessing our Sites and/or Services or have not previously been banned, terminated or otherwise denied access to our Sites and/or Services by us;
• are not acting on behalf of a person whose access to our Sites and/or Services has been previously terminated or otherwise denied by us;

2. Your Privacy

Your privacy is very important to us. We designed our Privacy  Statement to make important disclosures about how we collect, use and protect your personal data. We encourage you to read the Privacy Statement to help make informed decisions when using our Sites and Services. The Privacy Statement is incorporated herein by reference.

3.  Your Account

You will need to register by creating an account with Connected Commerce (either by registering directly with us or by allowing a Connected Commerce application to connect through your Facebook profile) (an “Account”) in order to obtain access to certain Services, including Deals and Coupons. If you choose to create an Account, you agree to provide only accurate, complete registration information, and you will keep that information up-to-date if it changes. When you register, you will obtain unique log-in credentials a( “User ID”). Access to the Connected Commerce Site and Services is not authorized by any other person or entity using your User ID and you are responsible for preventing such unauthorized use. Individuals and entities whose privilege to access the Site or use the Services has previously been terminated by Connected Commerce may not register for an Account, nor may you designate any of those individuals to use your Account on your behalf.

Connected Commerce relies on User IDs to know whether users accessing the Site and using our Services are authorized to do so. If someone accesses our Site or Services using a User ID that we have issued to you, we will rely on that User ID and will assume that access has been made by you. You are solely responsible for any and all access to the Site or use of the Services by persons using your User ID. Please notify us immediately if you become aware that your User ID is being used without authorization.

You are allowed one account that you are responsible for administering. Your account is non-transferrable, may not be sold, combined or otherwise shared with any other person. If you breach any of these limitations, we can terminate your account and you may forfeit any pending, current or future promotional account credits and any unredeemed offers in your account. If we terminate your account, you may not re-enroll or join under a new account unless we invite you through our own administration. If you commit fraud or falsify information in connection with your use of the Site or in connection with your Connected Commerce account, your account will be terminated immediately. Connected Commerce reserves the right to hold you liable for all damages we suffer, to pursue legal action through relevant local and national law enforcement authorities and to notify your Internet Service Provider of any fraudulent activity we associate with you or your use of the Site.

4. Your Access to and conduct with the Sites and Services

Our Site is private property. All interactions on this Site must be lawful and must comply with these Terms of Use. To the extent your conduct (as judged by us in our sole discretion), restricts or inhibits any other user from using or enjoying any part of this Site, we may limit your privileges on the Site and seek other remedies. PLEASE DO NOT ENGAGE IN ANY OF THE BELOW FOLLOWING ACTIVITIES, they are prohibited on the Site and constitute express violations of this Agreement:

• Submitting purposeful wrong information, committing fraud or falsifying information in connection with your Connected Commerce account or in order to create multiple Connected Commerce accounts;
• Attempting to interfere with our service to any user in any way, including, without limitation, by means of submitting a virus to the Site, or efforts to overload, “flood”, “spam”, “mail bomb” or “crash” the Site;
• Using the Site or any of its resources to solicit End Users, Merchants or other business partners of Connected Commerce to become users or partners of other online or offline services directly or indirectly competitive or potentially competitive with Connected Commerce, including without limitation, aggregating current or previously offered deals;
• Any resale or commercial use of the Site, the services, the contents and/or any of the other contents or materials found thereon;
• Any downloading or copying of Site or Account information for any reason other than your personal use, or any use of data mining, robots or similar data gathering and extraction tools;
• Framing or utilizing framing techniques to enclose any portion of the Site without express written consent;
• Using the Sites and/or the Services to access or collect any personally identifiable information, including account names, email addresses or other such information for any purpose, including, without limitation, commercial purposes;
• Attempting to gain access to secured portions of the Sites and/or Services to which you do not possess access rights;
• Using the Site and/or Services to generate unsolicited email advertisements or spam; or
• Using any automatic or manual process to search or harvest information from the Site and/or Services, or interfering in any way with the proper functioning of the Site and/or Services;
• Using the Site or any of its resources to solicit End Users, Merchants or other business partners of Connected Commerce to become users or partners of other online or offline services directly or indirectly competitive or potentially competitive with Connected Commerce.
• Any unauthorized use of the Site, Services, Content and/or any other contents or materials found thereon shall immediately terminate the permission or license granted by us in these Terms. You are granted a limited, revocable and nonexclusive right to create a hyperlink to the home page of ConnectedCommerce.net  so long as the link does not portray us or any of our products or services in a false, misleading, derogatory or otherwise offensive matter. You may not use any of our logos or other proprietary graphics or trademarks as part of the link without express written permission. The use of the Site, Services and Content for any of the purposes listed below is notauthorized in any manner:
• Using the Site or contents to promote or solicit, for commercial, political or religious purposes, or to compete, directly or indirectly with Connected Commerce;
• Reselling or repurposing your access to the Site or any purchases made through the Site;
• Connected Commerce, including without limitation, aggregating current or previously offered deals (unless otherwise agreed upon);
• Using any End User or Merchant information from the Site for any commercial purpose, including, but not limited to, marketing;
• Exceeding or attempting to exceed quantity limits when purchasing offers or otherwise using any Connected Commerce account to purchase offers for resale, or for speculative, false, fraudulent or any other purpose not expressly permitted by this Agreement and the terms of a specific offer on the Site;
• Accessing, monitoring or copying any content or information from this Site using any kind of robot, spider, scraper, other automated means or any manual process for any purpose without our express written permission;

5.  Site Availability 

You understand that there may be interruption in service or events that are beyond our control. While we use logical endeavors to maintain the Site’s accessibility, it may be unavailable from time to time for any reason including, without limitation, routine maintenance. You realize there may be circumstances both in and outside of our control where the Site access may be interrupted, suspended or terminated. Connected Commerce retains the right at our sole discretion to deny service, or access to the Site to anyone or an account, at any time and for any reason.

6. Ownership of the Site

The infrastructure, content and information, is proprietary to us or our Merchants and other partners. You agree you will not change, plagiarize, dispense, license, sell or re-sell any information, software, products or services obtained from or through the Site.

7. Communication 

Connected Commerce is not responsible for the security of information you choose to communicate with us and the Site while it is being transmitted. In addition, Connected Commerce is not responsible for any data lost during transmission.  

8. Terms of Sale

 Services or products you purchase through the Site as an account holder are special coupons, daily deals, rewards, or loyalty offers that you purchase from participating Merchants through our service. The offers are redeemable for certain goods, services or experiences offered by, or facilitated through, the Merchant identified on the receipt of your purchase. The Merchant is the provider of the offer and is responsible for all goods and services provided to you as well as all injuries, illnesses, damages, claims, liabilities and costs it may cause you to suffer, directly or indirectly, in full or in part, whether related to the use or redemption of an offer or not. You waive and release Connected Commerce and its subsidiaries, affiliates, partners, officers, directors, employees and agents from any liabilities arising from or related to any act or omission of a Merchant in connection with your use of an offer or the services/goods it provides in connection with it.

By purchasing an offer, you agree to this Agreement and the Terms of Sale. By purchasing, using a mobile version, printing, accepting, using or attempting to use any offer, you agree to the Terms of Sale specifically (“rules”) the terms on the offer itself and any additional, deal specific terms advertising the offer at the time of purchase (collectively, the “fine print” regardless of how labeled). These rules apply to all promotional offers that we make available, unless a particular offer’s fine print states otherwise, and except as otherwise required by law. In the event of a conflict between these rules and an offer’s fine print, the offer’s fine print will control.

9. Connected Commerce Points

If you make a purchase and want to return, Connected Commerce will refund the amount paid upon request in the original form of payment if the purchase is within 7 days from purchase date.  If a Merchant or venue refuses to honor any offer, Connected Commerce will give you the full refund in points on your card. Need a refund or have a question,contact us here. Offers are not redeemable for cash, unless required by law. Connected Commerce prohibits unauthorized, unlawful reproduction, resale, modification or trade of offers .

10. Referring friends and family

Connected Commerce’s referral program rewards you with $10 in points on your loyalty card each time you refer friends and family and they make a purchase and redeem the offer.  You may earn up to a maximum of $100 in Connected Commerce points over the lifetime of your participation across all referrals (“Lifetime Program Limit”). You must be active and in good standing with Connected Commerce to acquire and redeem Points via referral.

Referral requirements:  Referrals maybe friends who are not current Connected Commerce subscribers, and who have never purchased an offer from the Site (“New customer”). You use your personal referral link available in your dashboard.  When the New User clicks your referral link and, within the following 72 hours, registers on the Site and makes an initial purchase of an offer, Connected Commerce will deposit any Connected Commerce points you are eligible to receive, up to the Lifetime Program Limit,  until the Offer closes and is no longer provided for sale to the public.

 You may share your unique link via email and social media. PLEASE NOTE THAT IF YOU DECIDE TO SHARE YOUR REFERRAL LINK YOU MUST INFORM THE FRIENDS AND FAMILY THAT YOU ARE ELIGIBLE TO RECEIVE CONNECTED COMMERCE POINTS (POINTS) IF THEY SIGN UP AND MAKE A QUALIFYING PURCHASE. Failure to disclose this information is a violation of this Agreement and Connected Commerce may terminate you immediately from the referral Program, disqualify you from participating in the Program in the future, and cause the forfeiture of any Connected Commerce Points in your account.

Connected Commerce reserves the right at any time to modify or discontinue the referral Program either temporarily or permanently (or any part thereof) with or without notice. Connected Commerce will not be liable to you in the event of any modification, suspension or discontinuance of the referral Program.

11. Modification of this Agreement

We reserve the right at all times to change or halt any part of this Agreement as we deem necessary. If we make changes that materially affect your use of the Site or our services, we will notify you via e-mail to the e-mail address that is registered with your account and/or by posting notice of the change on the Site. Any changes to these Terms of Use will be effective upon the e-mail notice, or our posting the notice of the changes on our Site. These changes will not apply to offers purchased prior to the effective date of such changes. The changes will be effective immediately for new users of our Site and for all offers purchased after the effective date of the change. We suggest you review our Terms of Use from time to time to ensure that you stay informed of any such notifications of changes to the Site. Your use of the Site after we update these Terms of Use will constitute acceptance of the modified Terms of Use.

We also reserve the right to change or discontinue any aspect or feature of our services or the Site including, but not limited to, requirements for access or use.

12. Copyright and Trademarks.

Everything located on or in this Site is the exclusive property of Connected Commerce or is being used with permission. ANY COPYING, DISTRIBUTING, TRANSMITTING, POSTING, LINKING, DEEP LINKING, OR OTHERWISE MODIFYING OF THIS SITE OR ANY OF THE MICROSITES WITHOUT THE EXPRESS WRITTEN PERMISSION OF CONNECTED COMMERCE IS PROHIBITED. Any violation of this requirement may result in a copyright, trademark or other intellectual property right infringement that may subject you to civil and/or criminal penalties.

This Site contains copyrighted material, trademarks and other proprietary information.  The entire contents of the Site are protected by copyright as a collective work under the United States copyright laws. Connected Commerce owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. You may not modify, publish, transmit, participate in the transfer or sale, create derivations, or exploit any of the content, in whole or in part. You can download, print, and/or save copyrighted material for your personal use only. No copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express permission of Connected Commerce or the copyright owner is permitted except as otherwise expressly stated under copyright law. If copying, redistribution or publication of copyrighted material is permitted, you will make independent attribution and/or agree to make no changes in or deletion of any author attribution, trademark legend or copyright notice. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material.

Connected Commerce is a trademark of Connected Services, Inc. It, together with other trademarks that are located within or on the Site otherwise owned or operated in conjunction with Connected Commerce shall not be deemed to be in the public domain but rather the exclusive property of Connected Services, unless such mark or site is under license from the trademark owner thereof, in which case such license is for the exclusive benefit and use of Connected Commerce unless otherwise stated.

You will not make available on Connected Commerce anything protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. By submitting material to any public area of this Site, you warrant that the owner of such material has expressly granted Connected Commerce the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. You also permit any other end user to access, view, store or reproduce the material for that End User's personal use. You also grant Connected Commerce the right to edit, copy, publish and distribute any material that you make available on this Site.

A. Copyright Policy and Digital Millennium Copyright Act (DMCA) Procedures.  Connected Commerce reserves the right to terminate its agreement with you or any other End User who infringes third-party copyrights.

If you believe any material has been posted via the Site by an End User in a way that constitutes copyright infringement, you shall provide Connected Commerce with the following information: (a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyrighted work; (b) an identification of the copyrighted work and the location on the Site of the allegedly infringing work; (c) a written statement that you have a good faith belief that the disputed use is not authorized by the owner, its agent, or the law; (d) your name and contact information, including telephone number and e-mail address; and (e) a statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf.

14. Limitation of Liability.

IN NO EVENT SHALL CONNECTED COMMERCE, ITS SUBSIDIARIES, AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, MERCHANTS, PARTNERS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, THE CONTENT, STATEMENTS AND OTHER INFORMATION CONTAINED THEREIN, THE PRODUCTS OR SERVICES ACCESSIBLE OR AVAILABLE THROUGH THE SITE OR THESE TERMS OF USE. IN NO EVENT WILL CONNECTED COMMERCE’S LIABILITY IN CONNECTION WITH AN OFFER OR A PRODUCT OR SERVICE EXCEED THE AMOUNTS PAID FOR SUCH OFFER, PRODUCT OR SERVICE. TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU DURING THE SIX MONTHS PRECEDING THE BRINGING OF ANY CLAIM, OR FIVE HUNDRED DOLLARS, WHICHEVER IS LESS.

15. Arbitration.

We will make every acceptable effort to resolve any disagreements that you have with Connected Commerce. If those efforts fail, by using this Site you agree that any claim, dispute, or controversy you may have against Connected Commerce arising out of, relating to, or connected in any way with this Agreement this Site or the purchase or sale of any offer(s), shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) and conducted before a single arbitrator pursuant to the applicable Rules and Procedures established by AAA (“Rules and Procedures”). You agree further that: (a) the arbitration shall be held at a location determined by AAA pursuant to the Rules and Procedures (provided that such location is reasonably convenient for you), or at such other location as may be mutually agreed upon by you and Connected Commerce; (b) the arbitrator shall apply Virginia law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (c) there shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only your and/or Connected Commerce’s individual claims; and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (d) in the event that you are able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Connected Commerce will pay as much of your filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (e) with the exception of subpart (c) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (c) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither you nor Connected Commerce shall be entitled to arbitrate their dispute.

16. Consumer Communication

Connected Commerce in some instances allows you and other consumers to use the Site at times to express opinions and communicate through forums, bulletin boards, discussion groups, chat rooms or other communication facilities that may be offered on or through the Site.  Connected Commerce shall have the right, but not the obligation, to monitor the content within the Communities at any time, for any reason, including to determine compliance with this Agreement and any operating rules established by Connected Commerce, as well as to satisfy any applicable law, regulation or authorized government request. Without limiting the foregoing, Connected Commerce shall have the right, but not the obligation, to remove any material from the Communities that Connected Commerce, in its sole discretion, finds to be in violation of this Agreement or otherwise objectionable. Any opinions, advice, ratings, discussions, comments, and/or other messages or postings of any kind made by you or any other End User to the Communities (collectively, “Statements”), are those of the respective author(s) or distributor(s) and not of Connected Commerce.

17. License Grant.

By posting Statements or other information on or through the Communities, you grant Connected Commerce a royalty-free, continual, irrevocable, non-exclusive license to use, clone, change, publish, translate, administer, perform, and show the Statements alone or as part of other works in any form, media, or technology whether now known or hereafter developed without limitations, and to sublicense such rights through multiple tiers of sublicensees. Your license of any Statements or information submitted above extends to use for promotions, advertising, market research or any other lawful purpose, without limitation.

18. Indemnification/Release

You agree to protect, indemnify and hold harmless Connected Commerce, its subsidiaries, affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of or related to any products or services purchased by you in connection with the Site or any use of the Site in violation of these Terms. 

To the extent permitted under applicable laws, you hereby release Connected Commerce from any and all claims or liability related to any product or service of a Merchant, any action or inaction by Merchant, including Merchant’s failure to comply with applicable law and/or failure to abide by the terms of a Connected Commerce, and any conduct or speech, whether online or offline, of any other user.

19. Termination

Connected Commerce may terminate these Terms of Use at any time and has the right to, without notice, terminate or suspend any of your passwords or accounts. Connected Commerce considers, in its sole discretion, any of your conduct to be unacceptable, or in the event you breach this Agreement. Notwithstanding the above, these Terms of Use will survive termination of this Agreement.

20. Choice of Law

Any disputes arising out of or related to these Terms of Use and/or any Use by you of the Site or Connected Commerce’s services shall be governed by the internal laws of the State of Virginia, without regard to its choice of law rules and without regard to conflicts of laws principles except that the Arbitration provision shall be governed by the Federal Arbitration Act.

21. Additional Disclosures

No waiver by either you or Connected Commerce of any breach or default or failure to exercise any right allowed under this Agreement is a waiver of any preceding or subsequent breach or default or a waiver or forfeiture of any similar or future rights under our Agreement. The section headings used herein are for convenience only and shall be of no legal force or effect. If a court of competent jurisdiction holds any provision of our Agreement invalid, such invalidity shall not affect the enforceability of any other provisions contained in this Agreement, and the remaining portions of our Agreement shall continue in full force and effect.

The provisions of these Terms of Use apply equally to and are for the benefit of Connected Commerce, its subsidiaries, affiliates, Merchants and its third-party content providers and licensors, and each shall have the right to assert and enforce such provisions directly or on its own behalf.
